Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of Dineator, a software-as-a-service platform for restaurants covering point of sale, menu management, orders, tables, reservations, staff management and analytics. By creating an account or using Dineator, a restaurant and its authorized staff (the "Customer", "you") agree to these Terms.

The service

Dineator provides tools for a restaurant to run its floor, kitchen and online ordering, including a public storefront where the restaurant's own diners ("Guests" or "End Users") can view menus, place orders and make reservations. Dineator is offered on FREE, BASIC, PREMIUM and ENTERPRISE plans, each with different features and quotas. Billing terms for paid plans are set out in your service agreement with Dineator.

Accounts and responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. A restaurant's admin is responsible for the staff accounts they create and the permissions assigned to them, and for ensuring their staff comply with these Terms. You must provide accurate account information and keep it up to date.

Acceptable use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to another restaurant's tenant data or accounts;
  • Interfere with or disrupt the platform, its infrastructure or other customers' use of it;
  • Upload content you do not have the right to use, or content that is unlawful, fraudulent or infringing;
  • Reverse engineer, resell or white-label the platform except as expressly permitted in a separate agreement.

Plans and advertising

Dineator may display advertising on the storefront pages of restaurants on the FREE plan — these may be third-party ad-network ads or ads the restaurant itself uploads. Restaurants on the FREE plan can remove platform advertising from their storefront by upgrading to a paid plan (BASIC, PREMIUM or ENTERPRISE).

Payments

Payments made through a restaurant's storefront are processed by third-party payment processors (Stripe and/or Square). Dineator is not a party to the transaction between a Guest and a restaurant, and is not responsible for the acts or omissions of the payment processors. Use of those processors is subject to their own terms and policies.

Intellectual property

Dineator and its licensors own all rights in the Dineator platform, including its software, design and branding. A restaurant retains ownership of its own content uploaded to the platform, including its menu, pricing, images and branding, and grants Dineator a license to host, display and process that content solely to provide the service.

Service availability

The platform is provided on an "as-is" and "as-available" basis. We do not guarantee that the service will be uninterrupted, error-free or available at all times, and we may modify, suspend or discontinue features from time to time.

Limitation of liability

To the maximum extent permitted by law, Dineator will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or business, arising from your use of the platform. Our aggregate liability arising out of these Terms will not exceed the amount you paid to Dineator in the twelve months preceding the claim.

Termination

We may suspend or terminate access to the platform for a breach of these Terms or for non-payment. You may stop using the platform and close your account at any time. Sections of these Terms that by their nature should survive termination (including intellectual property and limitation of liability) will survive.

Governing law

These Terms are governed by the laws of the jurisdiction in which Dineator operates, without regard to conflict-of-law principles.

Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do, and continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
